In the midst of globalization, there is a growing recognition that the need for the protection of critical industries and technologies is becoming more important.
While the U.S. regulatory framework has provided for many years a process by which companies could pre-clear covered acquisitions so that the purchasing company can avoid a requirement that there be a divestiture on national security grounds, recent developments in the law and its applications have heightened the need for careful consideration of the consequences for any acquisition of a U.S. company by a foreign buyer.
Conversely, if we consider the EU as a whole, the absence of a comprehensive investment control framework at EU level creates a high degree of uncertainty for foreign investors facing different investment control screening regimes from different member states. From the perspective of the common market in the EU, it is also seen as problematic the fact that approximately half of the member states do not have any investment control regulations. Against this background, the European Commission has taken the initiative and brought forward a proposal for regulations establishing a unified investment control framework across the EU.
This program is intended to discuss the response to the existential threat represented by this state of events to buyers and sellers, and how to address that threat. This is a “must attend” seminar for any person involved in mergers and acquisitions as well as in minority investments in the US and/or the EU.
