Scott D. Smith joins McCormick & O’Brien LLP’s Commercial Litigation Practice as a Partner.
Mr. Smith’s practice involves a wide range of corporate and commercial matters, including complex business litigation, contractual disputes, business fraud, and business separations. Mr. Smith has experience in all phases of litigation, both at the trial and appellate levels, in federal district, bankruptcy and state courts throughout New York. He has represented a broad spectrum of clients, both as plaintiffs and defendants, in cases involving breach of contract, misrepresentation, breach of fiduciary duty, tortious interference, consumer and securities fraud actions, shareholder disputes, insurance claims, and real estate matters.
Mr. Smith also counsels newly formed businesses, rapidly growing companies and owner-managed small and mid-market companies. He understands the unique challenges of new ventures including choice of entity, capital structure, protection of intellectual property and agreements with key employees. As business grows or responds to the rapidly changing environment, Mr. Smith provides assistance in the areas of corporate governance, formation of all types of entities, and preparation of charter documents, shareholder agreements, partnership agreements and operating agreements.
In addition to complex and general litigation, Mr. Smith’s practice is concentrated on matters related to legal ethics, professional discipline, malpractice, sanctions, and law firm disputes.
